Job Overview:
This role is ideal for a motivated professional, detail-oriented with a minimum of three to four years experience in a corporate legal department. The successful candidate will work closely with the Associate General Counsel and business stakeholders to ensure the efficient and compliant execution of legal and corporate processes supporting both corporate governance and contract management functions.
Job Responsibilities:
Corporate Governance Support:
- Assist with the maintenance of corporate records for multiple entities, including preparation of board resolutions, annual filings, and organizational charts.
- Maintain corporate databases and ensure up-to-date records for subsidiaries and affiliates.
- Maintain organize, and update contract template and legal documentation, ensuring version control and regulatory compliance.
- Stay current on governance trends and regulatory developments, best practices in entity management, and develop templates, plans and processes.
- Coordinate entity registrations and good standing certificates across various jurisdictions.
- Support contract lifecycle management, including execution, storage, deadline tracking, and renewals.
- Support and oversee a variety of ad hoc tasks and projects within the team as they arise.
Contract Support:
- Draft, review and negotiate a wide range of legal agreements (e.g. NDAs, vendor contracts, engagement letters, service agreements, amendments under attorney supervision
- Track contract lifecycles and support contract execution, renewal and termination processes
Skills and Qualifications:
- Ability to prioritize and handle multiple projects simultaneously
- Able to maintain strict confidentiality
- A strong work ethic
- Ability to work independently and proactively as well as part of a team
- Comprehensive knowledge of MS Office
- Excellent communication skills, both verbal and written
- Excellent organizational skills
- Familiarity with computerized databases and on-line services
- Fully bilingual (English/Spanish)
Job Requirements:
- Level of education acquired through the completion of a Juris Doctor Degree
- Active License to practice law in Puerto Rico required
- Bachelors degree, preferably in business, finance or a related field
- Minimum of three to four experience in a corporate legal department (in-house experience preferred)
- Experience at a law firm or at a corporate legal department
- Experience reviewing and supporting contract agreement
- Familiarity with corporate secretarial processes
